Conyers acted as Cayman Islands legal counsel to Tencent Music Entertainment Group (“TME”) for its proposed acquisition of Ximalaya Inc. (“Ximalaya”) by way of merger, pursuant to an Agreement and Plan of Merger dated 10 June 2025 by and among TME, Ximalaya and certain other parties. The deal has been announced by TME and is subject to completion. TME operates one of the largest online music and audio entertainment platforms in China, and Ximalaya is one of the leading online audio platforms in China. Upon closing of the merger, Ximalaya will become a wholly owned subsidiary of TME. Partners Anna Chong and Angie Chu and Associate Michael Yu of Conyers' Hong Kong office, and Partner Erik Bodden and Counsel Alecia Johns of Conyers' Cayman office, advised on the matter, working alongside Baker McKenzie Fen Xun.
